Senior Associate – Financial Due Diligence

Overview

This role offers the opportunity to work on buy-side and sell-side M&A transactions, helping clients evaluate acquisition and divestiture opportunities through financial due diligence, accounting advisory, and transaction-related analysis. You'll partner with corporate executives, private equity investors, and lenders to assess business performance, identify key risks and opportunities, and support strategic transaction decisions.

Key Responsibilities

Participate in buy-side and sell-side transaction advisory engagements, providing financial due diligence, commercial due diligence, and accounting advisory support.

Assist clients with IPO readiness, carve-outs, restructurings, and other transaction-related initiatives.

Work directly with senior executives, investors, lenders, and management teams throughout the transaction lifecycle.

Analyze historical and projected financial performance to identify operating trends, quality of earnings considerations, working capital requirements, and potential transaction risks.

Evaluate financial, accounting, and operational issues that may impact valuation, deal structure, and negotiations.

Prepare client-ready analyses and reports related to:

Quality of Earnings (QoE)

Working Capital Analysis

Valuation Assumptions

Budget and Forecast Assessments

Debt and Indebtedness Analysis

Borrowing Base Calculations

Business Combination Accounting

Carve-Out Financial Statements

Qualifications

Minimum of 3 years of experience within a Top 10 public accounting firm in one or more of the following areas:

Financial Due Diligence

Transaction Advisory / Transaction Services

External Audit

Accounting Advisory

Bachelor's degree in Accounting or CPA eligible.

CPA license preferred but not required.

Strong knowledge of U.S. GAAP, SEC reporting, IFRS, M&A transactions, and/or transaction services.

Excellent verbal and written communication skills.
